All fees are due as specified in the service agreement. Late payments may be subject to interest charges.

- Maintain backup copies of your data

6. Intellectual Property
Our Intellectual Property
The Service and its original content, features, methodologies, and tools are owned by Keystone Logix LLC and are protected by copyright, trademark, and other intellectual property laws.
Client Intellectual Property
You retain ownership of your pre-existing intellectual property. Custom work product developed specifically for you under a service agreement will be transferred to you upon full payment, unless otherwise specified.
Licenses
We grant you a non-exclusive, non-transferable license to use any deliverables as specified in your service agreement.
7. Confidentiality
Both parties agree to maintain the confidentiality of:
- Business information and strategies
- Technical specifications and methodologies
- Client data and proprietary information
- Pricing and financial information
This confidentiality obligation survives the termination of any service agreement.
8. Warranty and Service Level
We warrant that our services will be performed in a professional manner. However, we do not warrant that:
- Services will be error-free or uninterrupted
- Results will meet specific business outcomes
- Third-party systems will remain compatible
Service levels and response times will be specified in individual service agreements.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYSTONE LOGIX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, BUSINESS INTERRUPTION, OR LOST PROFITS.
Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless Keystone Logix LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:
- Your use of our services
- Violation of these terms
- Violation of any third-party rights
- Your breach of applicable laws
11. Term and Termination
Service agreements will specify the term and termination conditions. Either party may terminate an engagement for:
- Material breach of agreement
- Non-payment of fees
- Insolvency or bankruptcy
- Mutual agreement
Upon termination, you will pay for all services rendered up to the termination date.
12. Dispute Resolution
Any disputes arising from these terms or our services will be resolved through:

13. Compliance with Laws
Both parties agree to comply with all applicable laws, regulations, and industry standards, including but not limited to:

14. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or government actions.
15. Changes to Terms
We reserve the right to modify these terms at any time. We will notify clients of significant changes by posting a notice on our website or via email. Your continued use of our services after changes constitutes acceptance of the new terms.
16. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
17. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
18. Entire Agreement
These terms, along with any specific service agreements, constitute the entire agreement between you and Keystone Logix LLC regarding our services.
